Assignment Under DSM Agreement. The occurrence of any transfer or assignment of any rights or obligations under Section 10.7 of the DSM Loan Agreement (in the form as in effect on the Closing Date) in each case without the prior written consent of the Lender to the extent that the consent of the Lender is required under those clauses.
