Common use of Assignments and Sub-Licensing Clause in Contracts

Assignments and Sub-Licensing. Without prior separate written authorization signed by HHC, Instructor has no right to, and shall not, grant, transfer, convey, sublicense, create sub-licenses, or otherwise assign any of its rights or delegate any of its obligations under this Agreement. This provision shall not in any manner whatsoever prohibit HHC from transferring, in whole or in part, its duties, rights, and obligations under this Agreement to any Party or Parties.
