Assignments and transfers by Lenders. (a) Subject to Clause 5B.2 (Assignments and transfers), a Lender (the Existing Lender) may in consultation with the Company, subject to the following provisions of this Subclause, at any time assign or transfer any of its rights and obligations under this Agreement to any other bank or financial institution or to a trust, fund or other entity which is regularly engaged in or established for the purpose of making, purchasing or investing in loans, securities or other financial assets (the New Lender).
