ASSIGNMENTS BINDING, BINDING EFFECT. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective successors and assigns; provided, however, that Broker may not assign its right or any interest herein (voluntarily, by operation of law, or otherwise) without the prior written consent of AH. This Agreement shall not be construed so as to confer any right or benefit upon any person other than the Parties to this Agreement, and their respective successors and assigns.
