Common use of Assignments by Banks Clause in Contracts

Assignments by Banks. If any Bank assigns all of its rights, benefits and obligations hereunder in accordance with Clause 36.1 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all the other parties hereto that it shall be under the same obligations towards each of them as it would have been under if it had been a party hereto, the other parties hereto shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been a party hereto.

Assignments by Banks. If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder under the Finance Documents in accordance with Clause 36.1 27.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken delivered a notice to all the other parties hereto Agent confirming in favour of the Agent, the Arrangers and the Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the other parties hereto Agent, the Arrangers, and the Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 24.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all agreed with the Agent, the Trustee, the Arrangers and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the Agent, the Trustee, the Arrangers and the other parties hereto Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

Assignments by Banks. If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 20.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken delivered a notice to all the Facility Agent confirming in favour of the Facility Agent and the other parties hereto Senior Finance Parties that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the Facility Agent and the other parties hereto Senior Finance Parties shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

Assignments by Banks. If Any Bank may, following the approval of the Agent, the Borrower and the Guarantor (which approval shall (i) not be unreasonably withheld or delayed and (ii) shall not be required during the existence of a Default), assign any Bank assigns all of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 under any Financing Document to another bank or other financial institution PROVIDED THAT such assignment relates to a Commitment or Participation of not less than $10,000,000 (Assignments and Transfers by Banks), then, unless or such lesser amount as is equal to the entire amount of the Commitment being assigned) and until the assignee has undertaken confirmed to all the Agent and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been a party heretoto this Agreement as a Bank, the Agent and the other parties hereto Banks shall not be obliged to recognise such the assignee as having the rights against each of them which it would have had if it had been such a party heretoParty.

If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 25.1 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all agreed with the Borrower, the Facility Agent, the Arranger and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the Facility Agent, the Arranger and the other parties hereto Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto. The assignee shall be responsible for giving notice of the assignment to the Borrower.

If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder under the Finance Documents in accordance with Clause 36.1 30.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken delivered a notice to all the Agent confirming in favour of the Agent, the Arrangers and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the Agent, the Arrangers and the other parties hereto Banks shall not be obliged to recognise such 115 assignee as having the rights against each of them which it would have had if it had been such a party hereto.

If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 25.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all agreed with the Agents, the Arranger, the Borrower and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank and has become a party heretoto the Security Agency Agreement as a Bank (whereupon such assignee shall become a party hereto as a "Bank"), the Agents, the Arranger, the Borrower and the other parties hereto Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

Assignments by Banks. If any Bank assigns all or any of its rights, rights and benefits and obligations hereunder in accordance with Clause 36.1 25.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all agreed with the Principal Company, the Facility Agent, the Arrangers and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party heretohereto as a "Bank"), the Facility Agent, the Arrangers and the other parties hereto Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto. The Assignee shall be responsible for giving notice of the assignment to the relevant Obligors.

Assignments by Banks. If any Bank assigns all or, save in the case of the Overdraft Bank, any of its rights, rights and benefits and obligations hereunder under any of the Finance Documents in accordance with Clause 36.1 29.3 (Assignments and Transfers by Banks), then, unless and until the assignee has undertaken to all agreed with the Agent, the Arranger, the Borrower and the other parties hereto Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to the Finance Documents as a Bank (whereupon such assignee shall become a party heretoto the Finance Documents as a "Bank"), the Agent, the Arranger, the Borrower and the other parties hereto Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party heretoto the Finance Documents.
