Common use of Assignments by Banks Clause in Contracts

Assignments by Banks. If any Bank assigns all or any of its rights and benefits under this Agreement in accordance with Clause 25.3 (Assignments and Transfers by Banks), then, unless and until the assignee has agreed with the Facility Agent, the Security Agent, the Arranger and the other Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement as a Bank (whereupon such assignee shall become a party to this Agreement as a "Bank"), the Facility Agent, the Security Agent, the Arranger and the other Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party to this Agreement.

Assignments by Banks. If any Bank assigns all or any of its rights and benefits under this Agreement the Finance Documents in accordance with Clause 25.3 36.3 (Assignments and Transfers by Banks), then, unless and until the assignee has agreed with delivered a notice to the Facility AgentAgent confirming in favour of the Agents, the Security AgentArrangers, the Arranger and the other Banks and the Fronting Bank that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement hereto as a Bank (whereupon such assignee shall become a party to this Agreement hereto as a "Bank"), the Facility AgentAgents, the Security AgentArrangers, the Arranger and the other Banks and any relevant Fronting Bank shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party to this Agreementhereto.

If any Bank assigns all or any of its rights and benefits under this Agreement the Finance Documents in accordance with Clause 25.3 30.3 (Assignments and Transfers by Banks), then, unless and until the assignee has agreed with delivered a notice to the Facility Agent confirming in favour of the Facility Agent, the Security AgentOriginal Mandated Lead Arrangers, the Arranger Security Trustee and the other Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement hereto as a Bank (whereupon such assignee shall become a party to this Agreement hereto as a "“Bank"”), the Facility Agent, the Security AgentOriginal Mandated Lead Arrangers, the Arranger Security Trustee and the other Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party to this Agreementhereto.

If any Bank assigns all or any of its rights and benefits under this Agreement the Finance Documents in accordance with Clause 25.3 38.3 (Assignments and Transfers by Banks), then, unless and until the assignee has agreed with delivered a notice to the Facility Agent and the Security Agent confirming in favour of the Facility Agent, the Security Agent, the Arranger and Arranger, the other Banks and the Obligors that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement hereto as a Bank (whereupon such assignee shall become a party to this Agreement hereto as a "Bank"), the Facility Agent, the Security Agent, the Arranger and Arranger, the other Banks and the Obligors shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party to this Agreementhereto.

If any Bank assigns all or or, save in the case of the Overdraft Bank, any of its rights and benefits under this Agreement any of the Finance Documents in accordance with Clause 25.3 29.3 (Assignments and Transfers by Banks), then, unless and until the assignee has agreed with the Facility Agent, the Security AgentArranger, the Arranger Borrower and the other Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement the Finance Documents as a Bank (whereupon such assignee shall become a party to this Agreement the Finance Documents as a "Bank"), the Facility Agent, the Security AgentArranger, the Arranger Borrower and the other Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party to this Agreementthe Finance Documents.

Assignments by Banks. If any Any Bank assigns all may, following the approval of the Agent, the Borrower and the Guarantor (which approval shall (i) not be unreasonably withheld or delayed and (ii) shall not be required during the existence of a Default), assign any of its rights and benefits under this Agreement in accordance with Clause 25.3 any Financing Document to another bank or other financial institution PROVIDED THAT such assignment relates to a Commitment or Participation of not less than $10,000,000 (Assignments and Transfers by Banks), then, unless or such lesser amount as is equal to the entire amount of the Commitment being assigned) and until the assignee has agreed with confirmed to the Facility Agent, the Security Agent, the Arranger Agent and the other Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party to this Agreement as a Bank (whereupon such assignee shall become a party to this Agreement as a "Bank"), the Facility Agent, the Security Agent, the Arranger Agent and the other Banks shall not be obliged to recognise such the assignee as having the rights against each of them which it would have had if it had been such a party to this AgreementParty.
