Assignments; Successors. No Party may assign any of its rights under this Agreement without the prior consent of the other Parties; provided, however, that each Purchaser may assign its rights and obligations hereunder (in whole or in part) to any Affiliate of such Purchaser without the consent of the Seller or the Company, except that such transfer or assignment will not relieve the assigning Purchaser of any of its obligations hereunder, except to the extent such assignment would have a material and adverse effect on the ability of such Purchaser to obtain the Control Permit in a timely manner. Subject to the preceding sentence, this Agreement will apply to, be binding in all respects upon, and inure to the benefit of the successors and permitted assigns of the Parties.

Notwithstanding the foregoing, however, that each Purchaser Buyers may assign its this Agreement or rights and obligations hereunder (of Buyers hereunder, in each case in whole or in part) , to any Affiliate of such Purchaser without the consent Buyers and to any successor to all or substantially all of the Seller Business (whether by merger, consolidation, sale of assets or the Companyotherwise), except provided that such transfer or assignment will not relieve the assigning Purchaser Buyers shall remain liable for all of any of its their obligations hereunder, except to the extent such assignment would have a material and adverse effect on the ability of such Purchaser to obtain the Control Permit in a timely mannerunder this Agreement. Subject to the preceding sentencesentences, this Agreement and the Collateral Agreements will apply to, be binding in all respects upon, and inure to the benefit of the successors and permitted assigns of the Partiesparties.
