Assignor Responsible. The Assignor shall assume full and complete -------------------- responsibility for the prosecution, defense, enforcement or any other necessary or desirable actions in connection with the Pledged Trademarks, and shall hold each of the Agent and the Banks harmless from any and all costs, damages, liabilities and expenses that may be incurred by the Agent or any Bank in connection with the Agent's interest in the Pledged Trademarks or any other action or failure to act in connection with this Trademark Agreement or the transactions contemplated hereby. In respect of such responsibility, the Assignor shall retain trademark counsel reasonably acceptable to the Agent.

In respect of such responsibility, the Assignor shall retain patent counsel reasonably acceptable to the Agent.

As between the Assignor, the Agent and the Revolving Credit Lenders, the Assignor shall assume full and complete responsibility for the prosecution, defense, enforcement or any other necessary or desirable actions in connection with the Pledged Trademarks, and shall hold each of the Agent and the Revolving Credit Lenders harmless from any and all costs, damages, liabilities and expenses that may be incurred by the Agent or any Revolving Credit Lender in connection with the Agent's interest in the Pledged Trademarks or any other action or failure to act in connection with this Trademark Agreement or the transactions contemplated hereby. In respect of such responsibility, the Assignor shall retain trademark counsel reasonably acceptable to the Agent.

In respect of such responsibility, the Assignor shall retain patent counsel acceptable to the Lender.

The Assignor shall assume full and complete responsibility for the prosecution, grant, enforcement or any other necessary or desirable actions in connection with the Patent Collateral, and shall hold the Agent and the Holders harmless from and against any and all reasonable and documented costs and expenses, and all documented damages and liabilities which may be incurred by the Agent or any of the Holders in connection with the Agent’s title to any of the Patent Collateral or any other action or failure to act in connection with this Patent Security Agreement or the transactions contemplated hereby. In respect of such responsibility, the Assignor shall retain patent counsel acceptable to the Agent.

In respect of such responsibility, the Assignor shall retain trademark counsel reasonably acceptable to the Lender.

In respect of such responsibility, the Assignor shall retain patent counsel acceptable to the Agent.

The Assignor shall assume full and complete responsibility for the prosecution, defense, enforcement or any other necessary or desirable actions in connection with the Pledged Trademarks, and shall hold each of the Agent and the Banks harmless from any and all costs, damages, liabilities and expenses that may be incurred by the Agent or any Bank in connection with the Agent's interest in the Pledged Trademarks or any other action or failure to act in connection with this Trademark Agreement or the transactions contemplated hereby, except for any costs, damages, liabilities and/or expenses arising solely as a result of the Agent's or such Bank's gross negligence or willful misconduct. In respect of such responsibility, the Assignor shall retain trademark counsel reasonably acceptable to the Agent.
