Common use of Assignor's Warranty Clause in Contracts

Assignor's Warranty. Except as otherwise provided in the Asset Purchase Agreement, Assignor hereby warrants that as of the effective date of this Assignment the Contract is in good standing, with no material claims, lawsuits, liens, or defaults; and with all required monies, fees, and other payments having been timely made; and that Assignor and Contracting Party are in substantial compliance with all Contract terms.
