Assigns and Assignment. This Agreement shall extend to, inure to the benefit of and be binding upon the parties hereto and their respective permitted successors and assigns; provided, however, that this Agreement may not be assigned or transferred, in whole or in part, by the Consultant except with the prior written consent of the Company.

Furthermore, Escrow Agent must be satisfied with all required Patriot Act, Know Your Customer, Anti-Money Laundering, and other information delivered by the assigning Party, including new contact information for notices, new funds transfer instructions and an updated Schedule C, prior to such assignment becoming effective and allow a reasonable amount of time for Escrow Agent to perform its due diligence involving the review of such information.
