Assistance by Company Clause Samples

Assistance by Company. To the extent not covered by Section 4.1, at Licensee’s reasonable request, Company will provide such further technical assistance as may be requested by Licensee in connection with the transfer to Licensee of the Development and Manufacture of Licensed Products in the Territory to ensure Licensee is fully capable of engaging in the Development and Manufacture of the Licensed Molecules and Licensed Products under this Agreement. To the extent not covered by Section 4.1, Licensee will compensate Company on an FTE basis at the FTE Rate for such further assistance by making cash payments to Company, based on not-to-exceed estimates provided in advance and written invoices provided by Company from time to time.
Assistance by Company. At Licensee’s reasonable request, Company shall cooperate with Licensee to provide such reasonable technical assistance as may be necessary in connection with (a) the transfer to Licensee of the Development of Licensed Products in the Territory and (b) the seeking of Regulatory Approval for Licensed Products in the Territory, in each case as is consistent with the capacity and capabilities of Company. Licensee will compensate Company for such assistance by making cash payments to Company equal to Company’s Fully Burdened Cost of providing such assistance, based on written invoices provided by Company from time to time; provided, however, that Company shall (i) for the first [***] months following the Effective Date, provide a reasonable amount of hours of such assistance pursuant to this Section 4.2 to Licensee free of charge (for clarity, such amount shall be uncapped for so long as it is reasonable); (ii) thereafter, provide up to [***] total hours of employee and/or full-time contractor time per month pursuant to this Section 4.2 free of charge. For clarity, Licensee shall not be responsible for any costs or expenses incurred by Company, its Affiliates or their respective employees or contractors for the normal activities performed by Company’s employees and contractors at the JSC level, routine communications or activities regarding the Development and Commercialization in the Territory, communications with or between Licensee’s and/or Company’s executive officers (including CEO, CFO, COO, CFO, CBO, CMO) and the like, including discussing, updating, and reviewing the Development Plan and Commercialization Plan.
Assistance by Company. Company agrees to furnish Distributor with reasonable quantities of Company's catalogs, manuals, advertising literature and other sales aids that may be available by Company. Any such sales aids provided shall be in English. Company further agrees to provide Distributor with reasonable home office support and technical assistance upon terms and conditions to be agreed upon from time to time. Company accepts that Distributor can translate these materials to another language in order to present them to the potential clients in the Territory. Distributor will provide Company with a copy of any translated materials.
