Assistance; Technology Transfer Clause Samples

The Assistance; Technology Transfer clause establishes the obligations of one party to provide support and share technical knowledge or proprietary technology with another party. Typically, this involves facilitating training, supplying documentation, or enabling access to specific tools or processes necessary for the recipient to effectively use or implement the technology. The core function of this clause is to ensure that the recipient can fully benefit from the technology provided, thereby reducing barriers to adoption and promoting successful collaboration.
Assistance; Technology Transfer. Prothena shall (and shall cause its Affiliates to) cooperate with Celgene (and its designees) and provide reasonable assistance to Celgene (and its designees) to enable Celgene (and its designees) to Develop, Manufacture and Commercialize Licensed Antibodies and Licensed Products, as and to the extent requested reasonably by Celgene, including (i) conducting a technology transfer to Celgene with respect to the Licensed Program Know-How and Prothena Licensed Collaboration Know-How, (ii) providing Celgene (and its designees) reasonable assistance with respect to regulatory and Manufacturing transition matters related to Licensed Antibodies and Licensed Products and (iii) providing Celgene (and its designees) with reasonable access by teleconference or in-person (as requested by Celgene) to Prothena personnel (and personnel of its Affiliates and Third Party contractors) involved in the Development or Manufacture of Licensed Antibodies and Licensed Products to assist with the transition and answer questions related to Licensed Antibodies, Licensed Products and Diagnostic Products.
Assistance; Technology Transfer. Without limiting the provisions of Section 2.6, [***] following the Effective Date (but in all cases, within [***] days after the Effective Date, Prothena shall (and shall cause its Affiliates to) initiate the technology transfers as set forth in Section 2.6 with respect to Licensed Program Antibodies and Licensed Program Products related to the Celgene Research Activities, and cooperate with and provide reasonable assistance to Celgene (and its designees) to enable Celgene (and its designees) to conduct Celgene Research Activities, as and to the extent requested reasonably by Celgene.
