Common use of Assistance with Permits and Filings Clause in Contracts

Assistance with Permits and Filings. The Seller will furnish the Purchaser with all information concerning the Company or the Business that is required for inclusion in any application or filing made by the Purchaser to any Governmental Authority in connection with the transactions contemplated by this Agreement. The Seller will use commercially reasonable efforts to assist the Purchaser in obtaining any Permits, or any consents to assignment related thereto, that the Purchaser will require in connection with the continued operation of the Company and the Business after the Closing.

Assistance with Permits and Filings. The Seller will shall furnish the Purchaser Buyer with all information concerning the Seller and the Company or the Business that is reasonably required for inclusion in any application or filing made by the Purchaser Buyer to any Governmental Authority in connection with the transactions contemplated by this Agreement. The Seller will will, at the Buyer’s cost and expense, use commercially reasonable efforts to assist the Purchaser Buyer in obtaining any Permits, or any consents to assignment related thereto, that the Purchaser Buyer will require in connection with the continued operation of the Company and the Business after the Closing.
