Common use of Assistance with Post-Closing SEC Reports and Inquiries Clause in Contracts

Assistance with Post-Closing SEC Reports and Inquiries. Upon the reasonable request of Top Favour, after the Closing Date, Xxxxx Xxxxx shall use his reasonable best efforts to provide such information available to it, including information, filings, reports, financial statements or other circumstances of Ableauctions occurring, reported or filed prior to the Closing, as may be necessary or required by Ableauctions for the preparation of the post-Closing Date reports that Ableauctions is required to file with the SEC to remain in compliance and current with its reporting requirements under the Securities Act, or filings required to address and resolve matters as may relate to the period prior to the Closing and any SEC comments relating thereto or any SEC inquiry thereof.

Upon the reasonable request of Top FavourDBL, after the Closing Date, Xxxxx Xxxxx Xxxxxxx Xxx shall use his reasonable best efforts to provide such information available to it, including information, filings, reports, financial statements or other circumstances of Ableauctions Indestructible occurring, reported or filed prior to the Closing, as may be necessary or required by Ableauctions Indestructible for the preparation of the post-Closing Date reports that Ableauctions Indestructible is required to file after Closing with the SEC to remain in compliance and current with its reporting requirements under the Securities Exchange Act, or filings required to address and resolve matters as may relate to the period prior to the Closing and any SEC comments relating thereto or any SEC inquiry thereof.
