Common use of ASSISTANCE WITH RESPECT TO EXCLUDED ASSETS Clause in Contracts

ASSISTANCE WITH RESPECT TO EXCLUDED ASSETS. Following the Closing Date, upon the request of Seller, Buyer will use its commercially reasonable efforts to assist Seller at Seller's expense in connection with collection, maintenance or liquidation of the Excluded Assets. If Buyer receives payment in respect of such items following the Closing, Buyer shall promptly pay such amounts to Seller and shall notify promptly each such payor that any and all payments by that payor to Seller in the future should be made directly to Seller.
