Associated Partners. Notwithstanding any other provision of this Agreement, the Capital Commitments, Capital Contributions, Carried Interest Percentages and other amounts required to be contributed by, returned by, or distributed to, each of such Limited Partner’s Associated Partners shall be apportioned between such Limited Partner and such Associated Partner in proportion to their respective Capital Commitments as of the date such Associated Partner is admitted to the Partnership as a Partner or such other proportions as may be agreed between the General Partner and such Partner. Any adjustments with respect to a Limited Partner’s interests in the Partnership shall apply equally to such Limited Partner’s Associated Partners as if such Limited Partner and such Associated Partners were one Limited Partner. The General Partner may make such adjustments as it deems appropriate to reflect the transactions contemplated by this Section 6.11.

Associated Partners. Except as otherwise agreed to in writing by the General Partner: (i) an Associated Partner shall be deemed to take the same actions and make the same consents and elections with respect to its Units as its related Partner, including, without limitation, any election to withdraw from the Partnership; and (ii) each Associated Partner shall have the same obligations, including, without limitation, the Restrictive Covenants, and be subject to the same terms as its related Partner as set forth in this Agreement as well as in the related Partner’s Supplementary Agreement.
Associated Partners. 3.8.1 Having regard to the particular importance of relationships in puppet arts, the Contracting Parties lay special emphasis on its relationships with associated partners coming from relevant professional fields. 3.8.2 The list of associated partners is Annex 7 to this Agreement. 3.8.3 Associated partners shall contribute to the PuppeTry EMJMD in accordance with their respective Letters of intent, approved by the Contracting Parties.
Associated Partners. §1. Associated KIC Partners are partners who are KIC Partners for EIT Food under the FPA and who contribute to the MFS programme by offering industrial and/or entrepreneurial exposure through projects, internships, industrial challenges, and other forms of learning opportunities in line with EIT’s “Added Value” requirement. §2. Associated Non-KIC Partners are partners who are not aligned to EIT Food as KIC Partners but who contribute to the MFS programme by offering industrial and/or entrepreneurial exposure through projects, internships, industrial challenges, and other forms of learning opportunities in line with EIT’s “Added Value” requirement. It is expected that Associated Non-KIC Partners will be determined and managed by individual Consortium Members. Where Non- associated Industry Partners are involved in the MFS programme, it shall be the responsibility of the individual Consortium Member managing them to ensure that their involvement is suitably managed, including through legal agreements as appropriate, and each individual Consortium Member shall be accountable to the MFS Consortium through the Steering Committee for the performance and conduct of their Non-associated Industry Partner. §3. Consortium Members shall ensure that all the offerings are properly organised and realised by the Associated KIC Partners and Associated Non-KIC Partners according to the objective of the MFS. Specifically, the Associated Partners and Associated Non-KIC Partners will offer activities where students can achieve: – Learning by doing. This can be real-life case studies by industrial partners or entrepreneurial ventures; and/or – Non-academic mobility. Students must complete a period of inter-organizational mobility (for example industrial internship).
Associated Partners. For the avoidance of doubt, the Associated Partner does not sign the Grant Agreement and does not receive funding from the Granting Authority and therefore does not have a right to charge costs or claim contributions from the Granting Authority. The Associated Partner must ensure their own funding for the implementation of the Project. However, certain terms and conditions of the Grant Agreement and its Annexes are applicable to the Associated Partner. The Coordinator will share a copy of the signed Grant Agreement and information on any amendments with the Associated Partner. The Associated Partner hereby commits to implement the Project tasks attributed to them in Annex 1 of the Grant Agreement. The Associated Partner supports the Parties regarding their exploitation, dissemination and Open Science obligations and commits to contribute to the technical and continuous reporting during and after the implementation of the Project. Any Associated Partner from a non EU-country undertakes to comply additionally with any other obligation arising from Art. 10.1 of the Grant Agreement. 4.5.1 In accordance with Article 9.1 of the Grant Agreement notwithstanding any other provision in this Consortium Agreement the Associated Partner: 4.5.1.1 shall only be subject to the provisions of Articles 11 (proper implementation), 12 (conflict of interests), 13 (confidentiality and security), 14 (ethics), 17.2 (visibility), 18 (specific rules for carrying out action), 19 (information) and 20 (recordkeeping) of the Grant Agreement; 4.5.1.2 shall not be subject to the financial provisions set out in the Grant Agreement and Clause 7 (Financial provisions) of this Consortium Agreement. The Associated Partner’s participation in the Project is subject to receipt of funding from its national Government.
