Seller is not in default under, and Seller has received no notice that any event has occurred which with the giving of notice or the passage of time, or both, would constitute a default under any Assumed Service Contract or other Contract that will bind Buyer as of the Closing. There are no delinquent amounts due and owing under any Assumed Service Contract or other Contract that will bind Buyer as of the Closing.
