Common use of Assumption and Joinder Clause in Contracts

Assumption and Joinder. On and after the Joinder Effective Date: (a) New Grantor hereby irrevocably and unconditionally assumes, agrees to be liable for, and agrees to perform and observe, each and every one of the covenants, rights, promises, agreements, terms, conditions, obligations, appointments, duties and liabilities of a “Grantor” under the Security Agreement and all of the other Indenture Documents (as defined in the Indenture) applicable to it as a Grantor under the Security Agreement; (b) New Grantor shall become bound by all representations, warranties, covenants, provisions and conditions of the Security Agreement and each other Indenture Document applicable to it as a Grantor under the Security Agreement, as if New Grantor had been the original party making such representations, warranties and covenants; and (c) all references to the term “Grantor” in the Security Agreement or in any other Indenture Document, or in any document or instrument executed and delivered or furnished, or to be executed and delivered or furnished, in connection therewith shall be deemed to be a reference to, and shall include, New Grantor.

Assumption and Joinder. On and after the Joinder Effective Date: (a) New Grantor Pledgor hereby irrevocably and unconditionally assumes, agrees to be liable for, and agrees to perform and observe, each and every one of the covenants, rights, promises, agreements, terms, conditions, obligations, appointments, duties and liabilities of a “GrantorPledgor” under the Security Agreement and all of the other Indenture Loan Documents (as defined in the IndentureCredit Agreement) applicable to it as a Grantor Pledgor under the Security Agreement; (b) New Grantor Pledgor shall become bound by all representations, warranties, covenants, provisions and conditions of the Security Agreement and each other Indenture Loan Document applicable to it as a Grantor Pledgor under the Security Agreement, as if New Grantor Pledgor had been the original party making such representations, warranties and covenants; and (c) all references to the term “GrantorPledgor” in the Security Agreement or in any other Indenture Loan Document, or in any document or instrument executed and delivered or furnished, or to be executed and delivered or furnished, in connection therewith shall be deemed to be a reference to, and shall include, New GrantorPledgor.
