Assumption by Hawk Parent. Effective immediately upon the funding of the initial Loans hereunder and the consummation of the Closing Date Merger on the Closing Date, Hawk Parent shall, by its execution of this Agreement, automatically become the Borrower hereunder and assume all of the Obligations of Merger Sub as the Borrower hereunder as if Hawk Parent had initially incurred them. Without limiting the generality of the foregoing, Hawk Parent hereby expressly agrees to observe and perform and be bound by all of the terms, covenants, representations, warranties, and agreements contained herein or in any other Loan Document which are binding upon, and to be observed or performed by, the Borrower. The Administrative Agent and each Lender hereby consent to the foregoing assumption.
