ASSUMPTION OF SPECIFIC OBLIGATIONS. Effective as of the Closing Date, SCC shall assume and be liable for the specific debts, obligations and liabilities of Seller set forth in Schedule 3.3.1 and no others (collectively, the "ASSUMED OBLIGATIONS"), in connection with the consummation of the transactions contemplated hereby.
