Assumption of the Securities. New FNH, as the transferee Person in the Asset Transfer, hereby expressly assumes the due and punctual payment of the principal of and interest on the Securities and all obligations of the Company under the Securities and the Indenture and shall be the successor to the Company under the Indenture.
