Assumptions and Exceptions Clause Samples

The "Assumptions and Exceptions" clause defines the baseline conditions and specific circumstances under which the terms of an agreement are intended to apply. It typically outlines any underlying facts or expectations that both parties rely on, as well as situations or scenarios where the agreement's provisions do not apply or are modified. For example, it may state that certain deliverables are based on the assumption of timely client input, or that obligations are waived in cases of force majeure. This clause ensures clarity by explicitly stating the boundaries and limitations of the agreement, helping to prevent misunderstandings and disputes over unforeseen situations.
Assumptions and Exceptions. The revenue metering location will be located within the existing Luther Forest station (Refer to Section 1.13 “National Grid / NYSEG Station - 2008 Interconnection Plan”). The physical point of demarcation will be the newly installed 115kV switches, just south of the existing Luther Forest station fence line (Refer to Section 1.13 “National Grid / NYSEG Station - 2008 Interconnection Plan”). NYSEG can construct their fence to connect into the existing Luther Forest fence line on the south side of the property. PRINTED COPIES ARE NOT DOCUMENT CONTROLLED. The shared drawings and how to issue/update/maintain should be determined during Step 1 of the National Grid process. The outages can be taken in a timely manner between the two(2) utility companies to allow for construction and also the testing and commissioning of the new equipment. There will be a minimal amount of soil removal and therefore the soil spoil pile can be located within the existing Luther Forest perimeter fence line.
Assumptions and Exceptions. The Respondent shall clearly state any assumptions it made in its Proposal. The Respondent shall also clearly identify any exceptions it takes to specific provisions of this RFP, noting the specific RFP section number. If there are no exceptions, the Respondent shall explicitly state that the Respondent takes no exception to any part of this RFP. Any exception may result in the Contract not being awarded to the Respondent.

Assumptions and Exceptions. It is assumed that the proposed ▇▇▇▇ ▇▇▇▇▇▇ bridge will have a clear span across ▇▇▇▇ ▇▇▇▇▇▇ and it will not be necessary to drill a test boring in 96th Street, and therefore no traffic control will be required and no fees for traffic control have been included in the fee estimate. • It is assumed that the City of Fishers will arrange for clearing trees and brush as needed to provide access for a track-mounted drill rig into the wooded area for the connector trail, at no cost to Atlas. • It is assumed that the client or owner will arrange for access and right-of-entry onto private property where necessary (e.g., the Berkley Grove Property Owners Association property, etc.) • It is assumed that all auger cuttings that cannot be placed to backfill the boreholes can be distributed on-site. The scope of our services does not include any environmental assessment or investigation for the presence or absence of hazardous or toxic materials in the soil, ground water or surface water within or beyond the site studied. The subsurface investigation outlined in this proposal assumes that there are no hazardous materials in the soil or in the ground water underlying the site and this study is not designed to detect or identify such materials. If it becomes apparent during the field investigation that hazardous materials may be present, field operations will be terminated. We propose to perform the scope of services described herein according to the unit charges for the applicable items as shown on the attached fee schedule. The cost of the study will not exceed $30,720.00, unless unexpected subsurface conditions are encountered or the project characteristics are changed significantly. If any changes in the program are indicated by the initial findings, we will consult with you and, with your approval, make such changes as are considered necessary. In any case, the cost estimate will not be exceeded without additional approval from you. Our professional services will be performed, our findings obtained and our recommendations prepared in accordance with customary principles and practices in the field of geotechnical engineering at the time and location where the services are performed. This warranty is in lieu of all other warranties either express or implied and no other warranties will be given.
