At the Closing, M. A. Hannx xxx Sellers shall deliver the resignations of all of the Directors of the Stock Companies, effective upon Closing, and the common seals of such corporations, if any. Following the Closing, M.A. Hannx xxx Sellers shall cooperate with Buyers to the extent necessary to carry out the transfer of the Transferred Stock and the other Nominee Shares not included in the Transferred Stock.
