Common use of Attorney Costs Clause in Contracts

Attorney Costs. Unless waived by the Administrative Agent, the Company shall have paid all fees, charges and disbursements of counsel to the Administrative Agent (directly to such counsel if requested by the Administrative Agent), pursuant to and subject to the limitations set forth in Section 11.04, to the extent invoiced prior to or on the Closing Date. Without limiting the generality of the last paragraph of Section 10.03, for purposes of determining compliance with the conditions specified in this Section 5.01, each Lender that has signed this Agreement shall be deemed to have consented to, approved or accepted or to be satisfied with, each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to a Lender unless the Administrative Agent shall have received notice from such Lender prior to the proposed Closing Date specifying its objection thereto.

Attorney Costs. Unless waived by the Administrative Agent, the Company The Borrower shall have paid all reasonable fees, charges and disbursements of counsel to the Administrative Agent (directly to such counsel if requested by the Administrative Agent), pursuant to and subject to the limitations set forth in Section 11.04, ) to the extent due under the Loan Documents and invoiced at least one Business Day prior to or on the Closing Date. Without limiting the generality of the last paragraph provisions of Section 10.039.03(c), for purposes of determining compliance with the conditions specified in this Section 5.014.01, each Lender that has signed this Agreement shall be deemed to have consented to, approved or accepted or to be satisfied with, each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to a Lender unless the Administrative Agent shall have received notice from such Lender prior to the proposed Closing Date specifying its objection thereto.
