Common use of Attorneys’ Fees and Costs and Expenses Clause in Contracts

Attorneys’ Fees and Costs and Expenses. At least twenty-one (21) days before the Opt-Out and Objection Deadlines, Class Counsel will file a motion for an award of attorneys’ fees and litigation costs and expenses to be paid from the Settlement Fund. Experian agrees not to oppose Class Counsel’s request for an award of attorneys’ fees not to exceed 35% of the Settlement Fund and reimbursement of litigation costs and expenses not to exceed $200,000.00. Prior to the disbursement or payment of the Fee Award and Costs under this Agreement, Class Counsel shall provide to Experian and the Settlement Administrator a properly completed and duly executed IRS Form W-9. Fee Award and Costs (plus any interest accrued thereon) shall be paid by the Settlement Administrator, in the amount approved by the Court, no later than forty-five (45) days after the Effective Date.
