Common use of ATTORNEYS’ FEES AND EXPENSES; ENFORCEMENT Clause in Contracts

ATTORNEYS’ FEES AND EXPENSES; ENFORCEMENT. If any attorney is engaged by Administrative Agent or any Lender to enforce or defend any provision of this Agreement, any of the other Loan Documents or Other Related Documents, or as a consequence of any Default under the Loan Documents or Other Related Documents, with or without the filing of any legal action or proceeding, and including, without limitation, any fees and expenses incurred in any bankruptcy proceeding of Borrower, then Borrower shall immediately pay to Administrative Agent or such Lender, upon demand, the amount of all reasonable attorneys’ fees and expenses and all costs incurred by Administrative Agent or such Lender in connection therewith, together with interest thereon from the date of such demand until paid at the rate of interest applicable to the principal balance of the Loan. Notwithstanding anything to the contrary contained in this Agreement, in no event shall Borrower be responsible for paying or reimbursing any Lender other than Administrative Agent for any attorney’s fees or costs or other out of pocket third party expenses except pursuant to this Section 13.9 and in connection with Borrower’s indemnity obligations under Section 13.1.

Notwithstanding anything to the contrary contained in this Agreement, in no event shall Borrower be responsible for paying or reimbursing any Lender other than Administrative Agent for any attorney’s fees or costs or other out of pocket third party expenses except pursuant to this Section 13.9 and in connection with Borrower’s indemnity obligations under Section 13.1.
