Common use of Attorneys’ Fees, Costs and Expenses Clause in Contracts

Attorneys’ Fees, Costs and Expenses. In any legal proceeding which arises out of or relates to this Agreement (whether in contract, tort, or any other legal theory whatsoever), then the party not prevailing shall pay to the prevailing party all reasonable costs and expenses incurred therein by the prevailing party including, without limitation, reasonable attorneys’ fees, court costs, expert witness fees, and costs, travel time, and associated costs, copy costs, deposition costs, exhibit costs, costs on appeal, fees, and costs associated with execution upon any judgment or order, special transcript costs, and the appointment of a Special Master or discovery referee. These expenses shall be in addition to any other relief to which the prevailing party may be entitled and shall be included in and as part of the judgment or decision rendered in such proceeding.
