Common use of Attorneys’ Fees With Respect to Litigation Clause in Contracts

Attorneys’ Fees With Respect to Litigation. If Sellers, on the one hand, or Purchaser, on the other hand, initiate any Action against the other, involving this Agreement or any Transaction Document executed in connection hereto, the prevailing party (as determined by the applicable court) in such Action shall be entitled to receive reimbursement from the other party for all reasonable attorneys’ fees, experts’ fees, and other costs and expenses incurred by the prevailing party in respect of that proceeding, including any and all appeals thereof, and such reimbursement shall be included in judgment or final order issued in such proceeding.

If Sellersany Seller, on the one hand, or Purchaser, on the other hand, initiate initiates any Action legal action or lawsuit against the other, involving this Agreement or any Transaction Document agreement executed in connection pursuant hereto, the prevailing party (as determined by the applicable court) in such Action action or suit shall be entitled to receive reimbursement from the other party for all reasonable attorneys’ ' fees, experts’ ' fees, and other costs and expenses incurred by the prevailing party in respect of that proceedingProceeding, including any and all appeals thereof, and such reimbursement shall be included in judgment or final order issued in such proceedingProceeding.
