Common use of Auction Administration Agreement; Auction Swap Agreement Clause in Contracts

Auction Administration Agreement; Auction Swap Agreement. (a) Concurrently with the execution and delivery hereof, at the direction of the Depositor, the Securities Administrator, acting solely as an agent (the “Auction Administrator”) for the Holders of the Auction Certificates and not on behalf of the Trust, shall execute and deliver the Auction Administration Agreement and the Auction Swap Agreement in the forms presented by the Auction Swap Counterparty provided that the provisions of Section 1A.05 remain applicable to each Certificateholder. The Securities Administrator shall have no duty to review or otherwise determine the adequacy of the Auction Administration Agreement or the Auction Swap Agreement.

The Securities Administrator Trustee shall have no duty to review or otherwise determine the adequacy of the Auction Administration Agreement or the Auction Swap Agreement.
