Audit Confirmations. All confirmations made by Seller in that certain audit letter to ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇, LLC (each, a “Confirmation” and collectively, the “Confirmations”) are hereby incorporated by reference herein and will be deemed to be made by Seller with the same force and effect as if same were explicitly contained in this Section 4.1 as representations. All references to “representations and warranties in this Agreement”, “representations and warranties made in this Agreement”, “representations and warranties contained in this Agreement” (or words of similar import) shall be deemed to include the Confirmations. If Seller shall breach any Confirmation, Seller’s liability to Purchaser for such breach shall be limited in accordance with this Section 4.1.

  • Reaffirmation and Confirmation Borrower hereby ratifies, affirms, acknowledges and agrees that the Credit Agreement and the other Loan Documents to which it is a party represent the valid, enforceable and collectible obligations of Borrower, and further acknowledges that there are no existing claims, defenses, personal or otherwise, or rights of setoff whatsoever with respect to the Credit Agreement or any other Loan Document.
