Common use of Audit of Safeguards Clause in Contracts

Audit of Safeguards. The Company shall maintain complete and accurate records of its security measures for School District Data and produce such records to the School District for purposes of audit upon reasonable prior notice during normal business hours. The School District reserves the right at its sole discretion to audit the Company’s storage of School District Data at the School District’s expense to ensure compliance with the terms of the Agreement and this Addendum.

The School District reserves the right at its sole discretion to audit audit, no more than annually, the Company’s storage of School District Data at the School 2/1/21 District’s expense to ensure compliance with the terms of the Agreement and this Addendum.

The School District reserves the right at its sole discretion to audit the Company’s storage of School District Data at the School District’s District expense to ensure compliance with the terms of the Agreement and this Addendum.

The School District reserves the District’s right at its sole discretion to audit the Company’s storage of School District Data at is limited to no more than once per year and applies only to financial books, records and documents directly related to the School District’s expense to ensure compliance with the terms of the Agreement and this Addendum.

The School District reserves the right at its sole discretion to audit the Company’s storage of School District Data at the School District’s expense hours to ensure compliance with the terms of the Agreement and this Addendum. Company may provide the School District with a recent third-party audit SOC 2 Type II report for validation Company’s information security practices and shall not have the right to audit unless such audit right is granted under applicable law, except in the case of a Security Breach resulting in a material business impact to School District.

The School District reserves the right at its sole discretion to audit the Company’s storage of School District Data at the School District’s expense to ensure compliance with the terms of the Agreement and this Addendum. Such audits shall be made no more than once per year and shall be subject to scheduling according to the mutual convenience of the parties.

The School District reserves the right at its sole discretion to audit the Company’s storage of School District Data at the School District’s expense to ensure compliance with the terms of the Agreement and this Addendum.
