Common use of Audited Annual Financial Information Clause in Contracts

Audited Annual Financial Information. As soon as is practicable, but in any event, not later than 10 days prior to the date on which Citigroup is required to file its annual report on Form 10-K, Primerica shall deliver to Citigroup (i) drafts of (a) the consolidated financial statements of Primerica (and notes thereto) for such year, setting forth in each case in comparative form the consolidated figures (and notes thereto) for the previous fiscal year and all in reasonable detail and prepared in accordance with Regulation S-X and (b) a discussion and analysis by management of Primerica’s consolidated financial condition and results of operations for such year, including an explanation of any material adverse change, all in reasonable detail and prepared in accordance with Item 303(a) of Regulation S-K and (ii) a draft of a discussion and analysis of Primerica’s consolidated financial condition and results of operations for such year, including an explanation of any material adverse change, all in reasonable detail and prepared in accordance with Item 303(a) of Regulation S-K,. The information set forth in (i) and (ii) above is herein referred to as the “Annual Financial Statements.” Primerica shall deliver to Citigroup all material revisions to such drafts as soon as any such material revisions are prepared or made. Primerica shall deliver to Citigroup, in final form, the Annual Financial Statements accompanied by an opinion thereon by Primerica’s independent certified public accountants, pursuant to Section 5.3(h).

As soon as is reasonably practicable, but in any event, not later than 10 days prior to the date on which Citigroup is required to file its annual report on Form 10-K, Primerica Agency Markets shall deliver to Citigroup Liberty Mutual (i) drafts of (ax) the consolidated financial statements of Primerica Agency Markets (and notes thereto) for such year, setting forth in each case in comparative form the consolidated figures (and notes thereto) for the previous fiscal year and year, all in reasonable detail and prepared in accordance with Regulation S-X X, and (by) a discussion and analysis by management of Primerica’s consolidated financial condition and results of operations for such year, including an explanation of any material adverse change, all in reasonable detail and prepared in accordance with Item 303(a) of Regulation S-K and (ii) a draft of a discussion and analysis of Primerica’s Agency Markets’ consolidated financial condition and results of operations for such year, including an explanation of any material adverse change, all in reasonable detail and prepared in accordance with Item 303(a) of Regulation S-K,, and (ii) a draft of a discussion and analysis of Agency Markets’ consolidated financial condition and results of operations for such year, including an explanation of any material adverse change, all in reasonable detail and prepared in accordance with Item 303(a) of Regulation S-K, for inclusion in the annual report to policyholders of the Liberty Mutual Affiliated Group. The information set forth in (i) and (ii) above is herein referred to as the “Annual Financial Statements.” Primerica Agency Markets shall deliver to Citigroup Liberty Mutual all material significant revisions to such drafts as soon as any such material revisions are prepared or made. Primerica No later than two (2) Business Days prior to the date Agency Markets publicly files or is required to file, whichever is earlier, the Annual Financial Statements with the SEC or otherwise becomes publicly available, Agency Markets shall deliver to Citigroup, in Liberty Mutual the final form, form of the Annual Financial Statements accompanied by an opinion thereon by Primerica’s independent certified public accountants, pursuant to Section 5.3(h)the Agency Markets Auditors.
