Auditors' Fees. The Insurer will pay the insured up to $500 for reasonable fee payable to the insured’s auditor for producing and certifying particulars and details of the insured’s business required by the insurer in order to arrive at the loss payable under this form in the event of a claim.

In the event that FSA's auditors are required to provide information or any consent in connection with the Offering Document prepared prior to the Date of Issuance, fees therefor not exceeding $4,000 shall be paid by the Company. Auditors' Fees. Parent agrees to reimburse Transferor for fifty percent (50%) of all costs, fees and expenses incurred by Transferor that directly relate to Transferor’s engagement of its auditor, Xxxxx Xxxxxxxx, up to a maximum of fifty thousand dollars ($50,000), to the extent such costs, fees and expenses were incurred by Transferor solely for the purpose of preparing, or assisting in the preparation of, Transferor’s Financial Statements.
