Common use of Authentication and Delivery of Debt Securities Clause in Contracts

Authentication and Delivery of Debt Securities. The Debt Securities shall contain or incorporate by reference the terms and conditions set forth in Exhibit C hereto and shall have the benefit of and be bound by the terms of the Indenture. Each Debt Security will be dated the date of its authentication. The Debt Security shall be in minimum denominations of US$150,000 and integral multiples of US$1,000 in excess thereof. To the extent any provisions of any Debt Security conflicts with the express provision of this Indenture, the provisions of this Indenture shall govern and be controlling.
