Common use of Authentication of Certificates Clause in Contracts

Authentication of Certificates. If the Certificates are in certificated form, the Owner Trustee shall cause the related Certificates to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, its treasurer or any assistant treasurer without further corporate action by the Depositor, in authorized denominations. No Certificate shall entitle its holder to any benefit under this Agreement or, with respect to a Series, the Series Supplement, or shall be valid for any purpose, unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or its authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Certificate shall have been duly authenticated and delivered hereunder. All Certificates shall be dated the date of their authentication.

Authentication of Certificates. If Concurrently with the Certificates are in certificated formacquisition of the Home Loans by the Trust, the Owner Trustee or the Certificate Paying Agent shall cause the related Certificates in an initial Certificate Percentage Interest of 100% to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, its treasurer or any assistant treasurer without further corporate action by the Depositor, in authorized denominations. No Certificate shall entitle its holder to any benefit under this Trust Agreement or, with respect to a Series, the Series Supplement, or shall be valid for any purpose, purpose unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or its authenticating agentthe Certificate Paying Agent, by manual signature; such authentication shall constitute conclusive evidence that such Certificate shall have been duly authenticated and delivered hereunder. Authentication of Certificates. If Concurrently with the Certificates are in certificated forminitial sale of the Receivables to the Trust pursuant to the Sale and Servicing Agreement, the Owner Trustee shall cause the related Certificates Certificates, in an aggregate principal balance equal to the Initial Certificate Balance, to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, its treasurer or any assistant treasurer without further corporate action by the Depositor, in authorized denominations. No Certificate shall entitle its holder Certificateholder to any benefit under this Agreement or, with respect to a Series, the Series SupplementAgreement, or shall be valid for any purpose, unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibit AA hereto, executed by the Owner Trustee or its authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Certificate shall have been duly authenticated and delivered hereunder. All Certificates shall be dated the date of their authentication.

If On the Certificates are in certificated formClosing Date, the Owner Trustee shall cause the related Certificates in an aggregate Percentage Interest equal to 100% to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by its chairman of the board, its president or president, any vice president, its treasurer secretary or any assistant treasurer treasurer, without further corporate action by the Depositor, in the authorized denominations. No Certificate shall entitle its holder Owner to any benefit under this Agreement or, with respect to a Series, the Series Supplement, or shall be valid for any purpose, purpose unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or its the Indenture Trustee, as the Trust’s authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Certificate shall have been duly authenticated and delivered hereunder. All Certificates shall be dated the date of their authentication.
