Common use of Authentication of the Certificate Clause in Contracts

Authentication of the Certificate. On the Closing Date, the Owner Trustee shall deliver the Certificate executed by the Owner Trustee on behalf of the Trust to the Certificate Registrar for authentication and the Certificate Registrar shall authenticate and deliver the Certificate to the Sponsor, without further Trust action. The Certificate shall not entitle the Certificateholder to any benefit under this Agreement or be valid for any purpose unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Certificate Registrar, by manual or facsimile signature; such authentication shall constitute conclusive evidence, and the only evidence, that such Certificate shall have been duly authenticated and delivered hereunder. The Certificate shall be dated the date of its authentication.
