Authentication Order Sample Clauses

Authentication Order. The Trustee shall authenticate and make available for delivery upon receipt of an Authentication Order, Opinion of Counsel and Officer’s Certificate from the Issuer (a) Initial Notes for original issue on the Issue Date in an aggregate principal amount of $650,000,000, (b) subject to the terms of the Indenture, Additional Notes, and (c) any Unrestricted Global Notes issued in exchange for any of the foregoing in accordance with the Indenture. Such Authentication Order shall specify the amount of the Notes to be authenticated, the date on which the original issue of Notes is to be authenticated and whether the Notes are to be Initial Notes, Additional Notes or Unrestricted Global Notes.

Authentication Order. The Issuers shall have executed and delivered an Authentication Order (as defined in the Indenture) pursuant to the Indenture with respect to the Notes, in form and substance reasonably satisfactory to the Underwriters, and the Underwriters shall have received executed copies thereof.
