The Purchaser has the legal capacity, right, power and authority to execute, deliver and perform this Agreement and the other agreements and documents contemplated by this Agreement. The execution, delivery and performance by the Purchaser of this Agreement and the consummation by the Purchaser of the transactions contemplated hereby have been duly authorised by all necessary action on the part of the Purchaser. This Agreement has been duly executed and delivered by the Purchaser.
