Common use of Authorisation of Agent Clause in Contracts

Authorisation of Agent. Each TCN Entity, each Arranger, the Security Trustee and each Bank irrevocably authorises the Agent to counter-sign each Substitution Certificate on its behalf without any further consent of, or consultation with such TCN Entity, such Arranger, the Security Trustee or such Bank except, in the case of the Borrower, the consent required pursuant to clause 17.3 or 17.4.

Authorisation of Agent. Each TCN Entity, each Arranger, the Security Trustee and each Bank Lender irrevocably authorises the Agent to counter-sign each Substitution Transfer Certificate and each Facility D Lender Accession Agreement on its behalf without any further consent of, or consultation with such TCN Entity, such Arranger, the Security Trustee or such Bank exceptLender except in respect of the Transfer Certificate only, in the case of the Borrower, the consent required pursuant to clause 17.3 or 17.417.3.
