Common use of Authorisation of Facility Agent Clause in Contracts

Authorisation of Facility Agent. Each party to this Agreement irrevocably authorises the Facility Agent to counter-sign each Substitution Certificate on its behalf for the purposes of clause 16.5 without any further consent of, or consultation with, such party except, in the case of the Primary Borrower, any consent required pursuant to clause 16.3.

Authorisation of Facility Agent. Each party to this Agreement irrevocably authorises the Facility Agent to counter-sign each Substitution Transfer Certificate on its behalf for the purposes of clause 16.5 15.3 without any further consent (save as may be provided for in clause 15.3) of, or consultation with, the Borrower or such party except, in party.
