Authority and Accuracy. Influencer represents and warrants that he/she is at least eighteen (18) years of age and is not an employee of Agency nor Client nor their respective affiliates or agencies. Influencer further warrants that it has not engaged in any action nor permitted any action to artificially, fraudulently or deceptively increase the number or quality of followers on any of Influencer’s social accounts. Each of the parties represents as of the Effective Date and warrants for the Term that it has authority to enter into this Agreement and to perform its obligations under this Agreement and that it has been authorized to sign and to deliver this Agreement. Third Party Rights. Influencer warrants for the Term that the Sponsored Content will not violate or infringe any third-party rights of any kind, including without limitation any copyright, trademark, or publicity right. Compliance with Laws & Regulations. Influencer represents as of the Effective Date and warrants for the Term that Influencer is, and will at all times be, in full compliance with all applicable governmental, legal, regulatory, and professional requirements, including anti-corruption and anti-bribery laws, such as the Foreign Corrupt Practices Act, the US Federal Communications Act, The United States Federal Trade Commission Guidelines on Endorsements and Testimonials, Canadian Anti-spam legislation, and laws relating to privacy, information security or similar matters as well as all current published guidelines, terms of service, or policies of all social media platforms through which any materials are published or distributed under this Agreement (collectively, “Laws”).
