Common use of Authority and Certain Activities of Sub-advisor Clause in Contracts

Authority and Certain Activities of Sub-advisor. The Sub-advisor shall have the authority set forth in Article 4 of the Advisory Agreement, shall have the authority to establish and maintain bank accounts as set forth in Article 5 of the Advisory Agreement, shall maintain books and records for the Company as set forth in Article 6 of the Advisory Agreement, and shall abide by the limitations of Article 7 of the Advisory Agreement, all of which (i.e., Articles 4 through 7 of the Advisory Agreement) are incorporated herein by reference as if fully set forth herein.

Authority and Certain Activities of Sub-advisor. The Sub-advisor shall have the authority set forth in Article Section 4 of the Advisory Agreement, shall have the authority to establish and maintain bank accounts as set forth in Article 5 Section 7 of the Advisory Agreement, shall maintain books books, records and records financial statements for the Company as set forth in Article 6 Section 8 of the Advisory Agreement, and shall abide by the limitations of Article 7 Section 9 of the Advisory Agreement, all of which (i.e., Articles Sections 4 and 7 through 7 9 of the Advisory Agreement) are incorporated herein by reference as if fully set forth herein.

The Sub-advisor Advisor shall have the authority set forth in Article 4 Section 3 of the Amended Advisory Agreement to the extent such authority is delegated to the Sub-Advisor hereunder, shall abide by the limitations of Section 5 of the Amended Advisory Agreement, and shall have the authority to establish and maintain bank accounts as set forth in Article 5 of the Advisory Agreement, shall maintain books and records for the Company as set forth in Article Section 6 of the Advisory Agreement, and shall abide by the limitations of Article 7 of the Amended Advisory Agreement, all of which (i.e., Articles 4 through 7 Sections 3, 5 and 6 of the Amended Advisory Agreement) are incorporated herein by reference as if fully set forth herein.
