Common use of Authority and Performance Clause in Contracts

Authority and Performance. Customer represents and warrants that (i) it has the legal right and authority to enter into this MSA and perform its obligations under this MSA, and (ii) the performance of its obligations and use of the Services (by Customer, its customers and users) will not violate any applicable laws, regulations or the Acceptable Use Policy or cause a breach of any agreements with any third parties or unreasonably interfere with other DataBank customers’ use of DataBank services.

Customer represents and warrants that (i) it has the legal right and authority to enter into this MSA and perform its obligations under this MSA, and (ii) the performance of its obligations and use of the Services (by Customer, its customers and users) will not violate any applicable laws, regulations or the Acceptable Use Policy or cause a breach of any agreements with any third parties or unreasonably interfere with other DataBank VeriCenter customers’ use of DataBank VeriCenter services.

Customer represents and warrants that (i) it has the legal right and authority to enter into this MSA and perform its obligations under this MSA, and (ii) the performance of its obligations and use of the Services (by Customer, its customers and users) will not not: violate any applicable lawslaws or regulations, regulations or the Acceptable Use Policy or cause a breach of any agreements with any third parties parties, or unreasonably interfere with other DataBank Highpoint Technology Group customers’ ' use of DataBank Highpoint Technology Group services. Customer agrees to provide Highpoint Technology Group with a Customer Registration Form identifying individuals authorized to act on Customer's behalf.
