Common use of Authority and Validity of Obligations Clause in Contracts

Authority and Validity of Obligations. The Business has full right and authority to enter into this Contract. The person signing this Contract has full authority to: (a) Sign this Contract on behalf of the Business, and (b) Obligate the Business to the performance of each and all of the obligations under the Contract. The Contract delivered by the Business have been duly authorized, executed and delivered by the Business and constitute the valid and binding obligations of the Business and enforceable against it in accordance with their terms. This Contract and related documents do not contravene any provision of law or any judgment, injunction, order or decree binding upon the Business or any provision of the articles of organization or operating agreement of the Business, contravene or constitute a default under any covenant, indenture or contract of or affecting the Business or any of its properties.
