Common use of Authority of Administrative Member Clause in Contracts

Authority of Administrative Member. Except as otherwise provided in this Agreement, the Administrative Member shall have the duty and authority, on behalf of the Company, to do all things appropriate to the accomplishment of the purposes of the Company, subject to and in accordance with the Requirements. ESC shall deliver an initial Budget to (i) the Board of Directors for its review and (ii) to BREA for BREA’s approval within ninety (90) days after the Closing.
