Common use of Authority of Managing Partner Clause in Contracts

Authority of Managing Partner. (a) No Person dealing with the Partnership shall be required to inquire into the authority of the Managing Partner or the Designate to take any action or to make any decision in the name of the Partnership, including the authority of the Managing Partner or the Designate to do any matter or enter into any agreement in respect of any matter.

(a) No Person dealing with whom the Partnership deals shall be required to inquire into determine the authority of the Managing Partner or the Designate to give any undertaking, enter into any commitment, take any action or to proceeding, make any decision in the name or execute, deliver or perform any instrument, deed, agreement or document on behalf of the Partnership, including or to see the authority application or distribution of revenues or proceeds paid to the Managing Partner or the Designate to do any matter or enter into any agreement in respect of any matterPartner.
