AUTHORITY OF PARTIES. Each individual executing this Lease on behalf of Tenant represents and warrants that he is duly authorized to execute and deliver this Lease on behalf of Tenant, in accordance with a duly adopted resolution or in accordance with the operating agreement, partnership agreement or other governing entity documentation, and that this Lease is binding upon Tenant in accordance with its terms.

AUTHORITY OF PARTIES. Each individual The individual(s) executing this Lease on behalf of Tenant represents and warrants warrant that he is each has been duly authorized to execute and deliver this Lease on behalf of Tenant, in accordance with a duly adopted resolution or in accordance with the operating agreement, partnership agreement or other governing entity documentation, and by Tenant and that this Lease by delivery hereof each warrants that execution by no other signatory is binding upon necessary to bind Tenant in accordance with its termsand that each will indemnify and defend Landlord from any claim to the contrary, or loss suffered by reason thereof.

Each individual executing this Lease on behalf of Tenant represents and warrants that he or she is duly fully authorized to execute and deliver this Lease on behalf of Tenant, in accordance with a duly adopted resolution or in accordance with the operating agreement, partnership agreement or other governing entity documentation, Tenant and that this Lease is binding upon Tenant in accordance with its terms.

AUTHORITY OF PARTIES. Each individual executing this Lease on behalf of Tenant represents and warrants to the other party that he and/or she is an officer, member, principal or partner of Tenant or Landlord, as applicable, and is duly authorized to execute and deliver this Lease on behalf of Tenant, such party in accordance with a duly adopted resolution or in accordance with the resolutions, bylaws, operating agreementagreements, partnership agreement agreements or other governing entity documentationdocuments of Tenant or Landlord, as applicable, and that this Lease is binding upon Tenant such party in accordance with its terms.,
