Common use of Authority of the General Partners Clause in Contracts

Authority of the General Partners. (a) Except as otherwise expressly provided in this Agreement, all decisions respecting any matter set forth herein or otherwise affecting or arising out of the conduct of the business of the Partnership shall be made by the General Partners and the General Partners shall have the exclusive right and full authority to manage, conduct and operate the Partnership's business. Specifically, but not by way of limitation, and subject to Section 4.01 and subsection (c) hereof, the General Partners shall be authorized in the name and on behalf of the Partnership:
