Common use of Authority Relative to Final Amending Agreement Clause in Contracts

Authority Relative to Final Amending Agreement. The execution, delivery and performance by the Company of this Final Amending Agreement and the consummation by the Company of the transactions contemplated hereby are within the Company’s corporate powers and have been duly authorized by the Board and no other corporate proceedings on the part of the Company or its shareholders are necessary to authorize this Final Amending Agreement or the transactions contemplated hereby. This Final Amending Agreement constitutes a valid and binding agreement of the Company, enforceable against the Company in accordance with its terms.

Authority Relative to Final Amending Agreement. The execution, delivery and performance by the Company Purchaser of this Final Amending Agreement and the consummation by the Company Purchaser of the transactions contemplated hereby are within the Company’s corporate powers of the Purchaser and have been duly authorized by the Board authorized, and no other corporate proceedings on the part of the Company or its shareholders Purchaser are necessary to authorize this Final Amending Agreement or the transactions contemplated hereby. This Final Amending Agreement constitutes a valid and binding agreement of the Company, Purchaser enforceable against the Company Purchaser in accordance with its terms.
