Common use of Authority to Carry on Business Clause in Contracts

Authority to Carry on Business. The Trustee represents to each of the Corporations and each Holder that at the date of execution and delivery by it of this Trust Indenture it is authorized to carry on the business of a trust company in the Province of Alberta. If, notwithstanding the provisions of this Section 10.13 but subject to Section 10.14, the Trustee ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture and the Licenses issued hereunder shall not be affected in any manner whatsoever by reason only of such event, but the Trustee shall, within 60 days after ceasing to be authorized to carry on the business of a trust company in such provinces, either become so authorized or resign in the manner and with the effect specified in Section 10.8.

IfCanada but if, notwithstanding the provisions of this Section 10.13 but subject to Section 10.147.14, the Trustee it ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture Agreement and the Licenses issued hereunder Voting Rights, the Exchange Right, the Automatic Exchange Rights on Liquidation and the Cash Put Right shall not be affected in any manner whatsoever by reason only of such event, event but the Trustee shall, within 60 ninety (90) days after ceasing to be authorized to carry on the business of a trust company in such provincesany province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 10.8Article 10.

The Indenture Trustee represents to each of the Corporations and each Holder Trust that at the date of execution and delivery by it of this Trust Indenture it is authorized to carry on the business of a trust company in each of the Province provinces and territories of AlbertaCanada. If, notwithstanding the provisions of this Section 10.13 but subject to Section 10.1412.09, the Indenture Trustee ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture and the Licenses Notes issued hereunder shall not be affected in any manner whatsoever by reason only of such event, event but the Indenture Trustee shall, within 60 90 days after ceasing to be authorized to carry on the business of a trust company business as contemplated hereby in such provinceseach of the provinces and territories of Canada, either become so authorized or resign subject to, and in the manner and with the effect specified in in, Section 10.812.08.

If, notwithstanding the provisions of this Section 10.13 but subject to Section 10.1412.9, the Indenture Trustee ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture and the Licenses Notes issued hereunder shall not be affected in any manner whatsoever by reason only of such event, event but the Indenture Trustee shall, within 60 90 days after ceasing to be authorized to carry on the business of a trust company business as contemplated hereby in such provinceseach of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 10.812.8 and subject to the provisions thereof in respect of the date on which such resignation will be effective.

Authority to Carry on Business. The Trustee represents to each of the Corporations and each Holder Corporation that at the date of execution and delivery by it of this Trust Indenture it is a body corporate incorporated under the laws of Canada or one of its provinces and is authorized to carry on the business of a trust company in each of the Province provinces of Alberta. IfCanada but if, notwithstanding the provisions of this Section 10.13 but subject to Section 10.1412.155, the Trustee it ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture and the Licenses securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event, event but the Trustee shall, within 60 90 days after ceasing to be authorized to carry on the business of a trust company in such provincesany of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 10.812.2.
